Terms and Conditions

GENERAL TERMS AND CONDITIONS OF SALE

These Terms and Conditions govern all quotations, sales, and deliveries of goods and services provided by Stark Supply LLC (“Seller”) to any customer (“Buyer”).
By placing an order or accepting delivery, Buyer agrees to these Terms and Conditions.

1. Acceptance of Orders

All quotations and orders are subject to written acceptance by Stark Supply LLC.
No modification of an order will be binding unless approved in writing by the Seller.
Any purchase order submitted by Buyer constitutes agreement to these Terms and Conditions.
Acceptance of goods or services delivered constitutes full acknowledgment and acceptance of this agreement.

2. Delivery / Risk of Loss / Transportation / Insurance

Seller will use reasonable commercial efforts to ship orders promptly.

• Regular stock orders placed before 10:00 AM ET ship the same business day (when in stock).

• Non-stock or special-order items ship based on supplier lead times.
  Delivery dates are estimates only.
  All goods are shipped F.O.B. Stark Supply Warehouse – Alpharetta, GA.
  Risk of loss passes to Buyer upon transfer of goods to the carrier.
  Insurance can be arranged upon written request.

3. Prices and Taxes

All prices are subject to change without notice and are quoted in USD.
Prices do not include freight, handling, or applicable taxes unless otherwise stated.
Buyer agrees to pay all sales or use taxes unless a valid resale or exemption certificate is provided prior to shipment.

4. Freight and Shipping Terms

Orders ship via carriers chosen at Seller’s discretion unless otherwise agreed.
Additional fees (lift-gate service, residential delivery, appointment scheduling, etc.) may apply.
Prepaid freight excludes accessorial and fuel surcharge fees.

5. Order Cancellation

Cancellation requests must be submitted in writing within 24 hours of order placement.
Orders already shipped, processed, or custom-manufactured cannot be cancelled.
Non-stock or special-order items are non-cancellable once in production.

6. Quantity Variations

Quantities may vary up to ±10% due to manufacturer packaging or production constraints.
Such variances will constitute full shipment completion.

7. Force Majeure

Seller shall not be liable for delays or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, acts of God, strikes, supplier delays, transport disruptions, or government actions.

8. Limited Warranty

All products sold by Stark Supply LLC are covered solely by their respective manufacturer warranties.
Seller makes no additional express or implied warranties, including merchantability or fitness for a particular purpose.
Defective goods must be reported within the manufacturer’s warranty period.
Seller’s liability is limited to repair, replacement, or refund of the defective item at its discretion.

9. Return Policy

Returns require prior authorization.
All returned goods must be in new, unused, and resalable condition in original packaging.

• Return requests must be made within 30 days of delivery.

• A 15% restocking fee may apply.

• Freight and handling charges are non-refundable.

10. Safety and Health Information

Buyer agrees to read and follow all manufacturer safety information, data sheets, and usage instructions.
Buyer assumes responsibility for safe handling and storage of all purchased materials.

11. Trademarks and Intellectual Property

All trademarks, logos, and brand names remain the property of their respective owners, including AFCAT Group Inc.
No rights or licenses are granted to use such trademarks without prior written consent.

12. Export Sales

Export transactions are governed by all applicable U.S. laws and export control regulations.
Buyer agrees to comply with all related documentation and licensing requirements.

13. Payment Terms

Payment terms are as stated on the invoice.
Late payments are subject to a 1.5% monthly finance charge (or maximum allowed by law).
Returned checks will incur a $50 service fee.
Buyer agrees to pay all collection costs and attorney fees in the event of non-payment.

14. Return of Goods for Credit

Returned products must be authorized in writing within 90 days of shipment.
Credit is issued only after inspection and acceptance by Seller.
Special-order, non-stock, or customized items are non-returnable.
Credit will be calculated at the lower of purchase or current replacement price, less freight.

15. General Provisions

These Terms and Conditions constitute the entire agreement between Seller and Buyer.
Any amendment must be in writing and signed by authorized representatives of both parties.
Seller expressly rejects any terms proposed by Buyer that differ from or add to these conditions.
If any clause is deemed invalid, the remainder shall continue in full effect.
